M-1. AGREEMENT
This document establishes the Policies, Terms, Conditions and Agreements associated with the Happy World Network, Ltd. Member Enrollment System that can be found at

/enroll
or upon any Happy World Network Member's ProfitRaising Web Site at their web address or domain name followed by /cat/membership/enroll (hereinafter referred to as "Enrollment System") and represents a legal Agreement made by and between the person or business entity identified within the "Enrollment System" (hereinafter referred to as "MEMBER") and Happy World Network, Ltd. of 590 Madison Avenue, 21st Floor, New York, NY 10022 (hereinafter referred to as "Happy World Network"). By completing the Enrollment process using the above-mentioned "Enrollment System" MEMBER attests that he or she has the authority to enter into this Agreement on their behalf, or for the corporation or organization he or she represents, that he or she has the authority to submit the associated payment, that he or she is of legal age in the state in which he or she enters this Agreement, and agrees that completing the Enrollment process using the above-mentioned "Enrollment System" constitutes an electronic signature that is acceptable as original signatures for this Agreement. MEMBER also understands and agrees that there are two associated addendums to this agreement found at

which are incorporated into this agreement, and all Policies, Terms, Conditions and Agreements included in those addendums are an integrated part of this legal agreement, and vice-versa. By completing the Enrollment process using the above-mentioned "Enrollment System" MEMBER attests that he or she has fully and carefully reviewed all of the Terms and Conditions of this Agreement and the associated addendums mentioned above, acknowledges that they are incorporated as part of this Agreement in their present form, and agrees to adhere to them.
M-2. PURCHASED MEMBER SERVICES
MEMBER understands and agrees that the purchase price associated with a Happy World Network Membership represents payment for (1) "Quicken Legal Business Pro" Software CD-ROM for PCs, and the following five (5) "Member Services" as follows: one (1) Shipping of the above-mentioned CD-ROM with delivery confirmation; one (1) ProfitRaising Web Site Setup (service description found at
HappyWorldNetwork.com/cat/webmaster);
thirty (30) days of ProfitRaising Web Site Hosting and Associated Services for the above-mentioned ProfitRaising Web Site (web site service Policies, Terms, Conditions and Agreements found as an addendum to this agreement at
HappyWorldNetwork.com/policies
/online_services);
one (1) Login ID and associated Password for access to the ProfitRaising Web Site Editing and Management Tools (service description found at
HappyWorldNetwork.com/cat/webmaster);
one (1) Member ID and associated password needed to interactively participate in the EthicalEquity.com, ReferralMarketplace.net and CitizenPolicy.org online communities.
M-3. FREE MEMBER SERVICES
MEMBER understands and agrees that a Happy World Network ProfitRaising System (service description found at
HappyWorldNetwork.com/cat/profit)
is included with each Happy World Network Membership at no additional charge, which can be accessed by MEMBER as an added-value option. MEMBER will be assigned one (1) Login ID and associated Password for access to the ProfitRaising Web Site Editing and Management Tools (service description found at
HappyWorldNetwork.com/cat/webmaster);
and may participate in the Happy World Network ProfitRaising System simply by logging into the ProfitRaising Web Site Editing and Management Tools mentioned above and accessing the ProfitRaising Tools (ProfitRaising System Policies, Terms, Conditions and Agreements found as an addendum to this agreement found at
HappyWorldNetwork.com/policies/profitraising ).
M-4. MAINTAINING MEMBER SERVICES
MEMBER understands and agrees that Service Fees will be billed to MEMBER on the first day of each calendar month to maintain the Member Services mentioned above, and additional Service Fees may also be billed to MEMBER each month for any additional services MEMBER might have added to their Membership, with such services and associated pricing detailed upon the following web pages:

MEMBER also understands and agrees that any amounts due for the services mentioned above are to be paid with "Barter Bucks" which are the Happy World Network's In-Network Currency (equal in value to one US Dollar) and the exclusive payment method for the services mentioned above (for more details about "Barter Bucks" see

MEMBER also understands and agrees that failure to have sufficient "Barter Bucks" available for the payment of the Services Fees mentioned above, on or before the seventh day of each calendar month, will grant to Happy World Network the right to suspend and/or terminate MEMBER's Membership (including the associated ProfitRaising Tools and Compensation) at Happy World Network's discretion.

M-5. USE OF TRADE NAMES AND TRADEMARKS
MEMBER agrees to include the text "Independent Member" in any and all instances where the MEMBER's name and Happy World Network, Ltd's proprietary trade names and/or trademarks appear in the same place. MEMBER also agrees not to publish or distribute any advertising that includes Happy World Network, Ltd's proprietary trade names and/or trademarks without prior written approval by Happy World Network (pre-approved ads and ad-copy can be found at

/centers/ads)
and that MEMBER will make no statements, claims, representations, or warranties regarding the Happy World Network or any Happy World Network Product or Service, which are not contained in official Happy World Network promotional materials. MEMBER understands and agrees that Happy World Network will deliver a "Cease and Desist Order" to any Independent Contractor (Member) who misrepresents Happy World Network and reserves the right to suspend MEMBER's Membership (including the associated ProfitRaising Tools and Compensation) or violates the terms and conditions of this agreement, pending an investigation in accordance with section M-6 of this Agreement (it is always best to conform to the marketing materials found at

M-6. TERM
The term of this Agreement is thirty days, and the effective date of this Agreement shall be the date MEMBER completed the Enrollment process using the above-mentioned "Enrollment System" and the information thereby submitted is received and approved by Happy World Network. MEMBER understands that the information provided by MEMBER in the "Enrollment System" must be approved by Happy World Network and the associated payment must be collected by Happy World Network before this agreement will become active. This agreement may be renewed each month by MEMBER simply by paying the associated Monthly Service Fees mentioned above, upon which all of the associated products, services and associated electronic information will continue uninterrupted and unchanged.
M-7. TERMINATION OF AGREEMENT
MEMBER may rescind this agreement and receive a full refund of their purchase by written instrument delivered to Happy World Network at its office in New York, NY within five (5) days of MEMBER's completion of the Happy World Network Member Enrollment System (as described above) and MEMBER understands and agrees that no returns shall be accepted and no refunds shall be provided by Happy World Network beyond that five (5) day period. MEMBER may terminate this Agreement and MEMBER's access to all associated services at any time by simply not paying the associated Monthly Service Fees mentioned above; or by selecting the "Cancel Membership" option and completing the process within MEMBER's ProfitRaising Tools; or by giving no less than thirty (30) days written notice to Happy World Network at its office in New York, NY. It is agreed that upon Happy World Network's knowledge of any perceived violation of any of the Terms and Conditions of this agreement or any other agreement between MEMBER and Happy World Network then Happy World Network reserves the right to suspend MEMBER's access to any and/or all of the services associated with this agreement, or any other agreement between MEMBER and Happy World Network and MEMBER will immediately be notified by Happy World Network of such suspension and alleged violation or violations, to be delivered to MEMBER via the MEMBER's Email address provided within the Member Enrollment System or ProfitRaising Tools (if MEMBER has updated his or her Email address). It is agreed that MEMBER will be given fourteen (14) days to refute such allegations or to remedy any such violations that Happy World Network deems can be remedied (Happy World Network reserves the right to determine which violations can and/or cannot be remedied - e.g. nonpayment of a monthly invoice can be remedied with payment), and upon such resolution Happy World Network will reactivate MEMBER's full access to the above-mentioned services. It is also agreed that if MEMBER will not or cannot refute or remedy any perceived violation of any of the Terms and Conditions of this Agreement within the allotted fourteen (14) day remedy period, then Happy World Network reserves the right to terminate this Agreement and MEMBER's access to all associated services entirely.
M-8. MISCELLANEOUS
All notices required or permitted under this Agreement shall be communicated to the addresses listed above. Happy World Network may assign this Agreement without MEMBER's prior written consent. MEMBER may assign this Agreement ONLY with the prior written consent of Happy World Network and such consent shall not be unreasonably withheld. This Agreement is governed by the laws of the United States and the State of New York, with the venue being in the State of New York. In the event that any legal action is brought by either party to enforce any Term or Condition of this Agreement, the prevailing party shall be entitled to recover its actual legal cost, including reasonable attorney's fees, court costs, and costs of collection, in addition to whatever other relief a court may award. The application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded. This Agreement and the associated addendums mentioned above sets forth all rights for the user of Happy World Network Membership and constitutes the entire agreement between Happy World Network and MEMBER with respect to the use of the Happy World Network Products and Services and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. This agreement may be modified by Happy World Network from time to time to meet legal requirements and changes in economic conditions. This Service Agreement may not be modified by MEMBER at any time. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. Both parties confirm that it is their wish that this Agreement has been written in the English language only.
