P-1. AGREEMENT ADDENDUM
This document represents an addendum to the legal agreement set forth by the Happy World Network, Ltd. Membership Policies, Terms and Conditions found at
HappyWorldNetwork.com/policies/membership
thus incorporating any and all Policies, Terms, Conditions and Agreements included in that legal agreement into this addendum, and vice-versa. This addendum establishes the Policies, Terms, Conditions and Agreements associated with the FREE MEMBER SERVICES associated with the Happy World Network, Ltd. Member Enrollment System that can be found at

as described in the Membership Policies, Terms and Conditions found at
HappyWorldNetwork.com/policies/membership
including the Happy World Network ProfitRaising System that is included with each Happy World Network Membership at no additional charge (service description found at
HappyWorldNetwork.com/cat/profit),
herinafter referred to as the "ProfitRaising System") and described in detail below.
P-2. PROFITRAISING SYSTEM ACCESS
MEMBER understands and agrees that MEMBER will be assigned one (1) Member ID and associated password for access to MEMBER's unique "ProfitRaising Tools" which can be used to make use of the ProfitRaising System and participate in the associated promotional programs and compensation programs.
P-3. INDEPENDENT CONTRACTOR
MEMBER understands and agrees that upon acceptance of this agreement by Happy World Network MEMBER will become an Independent Contractor and will NOT become an employee of Happy World Network and has NO authority to bind Happy World Network. As an independent contractor MEMBER may work "at will" and will NOT be subject to any set work hours or sales quotas. MEMBER shall be responsible for the payment of his/her/its own business expenses, shall furnish his/her/its own supplies & equipment, and may assign part or all of the work. MEMBER understands and agrees that as an Independent Contractor MEMBER is NOT assured of or guaranteed any income, profits or success from Happy World Network, and that any profit or success that MEMBER may enjoy from Happy World Network Membership will originate solely from the sale of the Products and Services provided by Happy World Network and their ongoing use of such Products and Services. MEMBER understands and agrees that MEMBER must furnish their correct Social Security or Federal Tax Identification number to Happy World Network or MEMBER will NOT qualify to receive ProfitRaising System payments. MEMBER understands and agrees that MEMBER is not eligible for and will NOT receive employee benefits of any kind and hereby acknowledges that he/she/it will NOT be treated as an employee in regard to any laws covering employees including but not limited to the Federal Insurance Contributions Act, the Social Security Act, the Federal Unemployment Tax Act, income tax withholding at source, or for any federal or state tax laws. MEMBER understands and agrees that Happy World Network will NOT withhold federal, state or local taxes or any other payroll taxes of any kind, and that Happy World Network is NOT responsible for MEMBER's worker's compensation or any other expense or obligation of MEMBER. Therefore, MEMBER specifically acknowledges, agrees, and accepts responsibility to withhold and pay any state and federal income taxes that are required by law, and hereby declares that he/she/it has complied with local, state and federal law regarding any business licenses or permits needed to carry out the work.
P-4. BARTER BUCKS
The Barter Bucks Account System (service description found at

is included with each Happy World Network Membership and is offered at no additional charge. Barter Bucks are the Happy World Network's In-Network Currency, which is primarily used to pay Referral Rewards from one Member to another, but can also be used for making purchases from any Online Profit Center or from any Member who accepts Barter Bucks for the sale of their own products and services. One Barter Buck is equal in value to one US Dollar, and each Member is provided with a Barter Bucks Account, accessible from their ProfitRaising Tools, with which they can accept, hold and transfer Barter Bucks. The Barter Bucks Account System can be accessed by MEMBER as an added-value option from MEMBER's ProfitRaising Tools, with which they can accept, hold and transfer Barter Bucks. Barter Bucks are subtracted from MEMBER's Barter Bucks Account each time MEMBER uses them to make a purchase, or when MEMBER pays Referral Rewards to another Member, and there is never any fee for using Barter Bucks to make payments. Barter Bucks are added to MEMBER's Barter Bucks Account when Referral Rewards are paid to MEMBER by other Members, or when commission, bonus or revenue sharing payments are paid to MEMBER by Happy World Network, Ltd. itself. However, there is a processing fee charged for receiving Barter Bucks from any source, equal to 2% of the Barter Bucks received. There is also a fee for converting US Dollars to Barter Bucks to add funds to MEMBER's account, or converting Barter Bucks to US Dollars to withdraw funds from MEMBER's account, equal to 5% of the funds added or withdrawn.

P-5. PROFIT-CENTERS
The Online Profit Center System (service description found at

that is included with each Happy World Network Membership is offered at no additional charge, can be accessed by MEMBER as an added-value option. This Online Profit Center System provides a utility for offering thousands of cutting-edge products and services that Happy World Network offers to Internet shoppers, and receiving payments from Happy World Network for the purchases that are transacted on MEMBER's ProfitRaising Website (Happy World Network actually processes the payments, processes the orders, delivers the products or services to the purchaser, and supports the products or services after the sale). On or before the tenth days of each calendar month, Happy World Network provides a final Monthly Sales Volume Report that includes all the activity found in the previous month's Online Profit Center Sales Report, and also includes any returns, refunds, chargebacks, and other deductions that occurred during that month, or within the 10 days since the close of that month. This monthly settlement is intended to allow a reasonable amount of time for most returns, refunds, chargebacks, and other deductions to occur, thus minimizing the amount of "Commission Returns" that would be necessary when returns, refunds and chargebacks occur after MEMBER received commissions for the associated sales. It is this final "Monthly Sales Volume Report Balance" that MEMBER's commissions will be based upon. On the 10th of each calendar month, Happy World Network Ltd. deposits payments into the Barter Bucks Accounts (see description below) of all Members who are owed commissions. The amount of each commission payment is determined by multiplying a given Member's "Monthly Sales Volume Report Balance" and the applicable "Commission Level" identified below (either 5%, 10% or 15% depending on sales volume) as follows:
Partner Commissions are paid to any Member whose current "Monthly Sales Volume Report Balance" (described above) is greater than $50 is referred to as a "Partner" and is entitled to a 5% commission of that "Monthly Sales Volume Report Balance".
Promoter Commissions are paid to any Member whose current "Monthly Sales Volume Report Balance" (described above) is greater than $200 is referred to as a "Promoter" and is entitled to a 10% commission of that "Monthly Sales Volume Report Balance".
Producer Commissions are paid to any Member whose current "Monthly Sales Volume Report Balance" (described above) is greater than $1,000 is referred to as a "Producer" and is entitled to a 15% commission of that "Monthly Sales Volume Report Balance".
MEMBER will be assigned one (1) Member ID and associated password for access to MEMBER's ProfitRaising Tools, and may participate in this program simply by using these tools as described in this document and within the help system provided with the ProfitRaising Tools.
P-6. REFERRAL REWARDS
The Referral Rewards System (service description found at

that is included with each Happy World Network Membership is offered at no additional charge, can be accessed by MEMBER as an added-value option. This Referral Rewards System provides a utility for receiving payments for referring new customers to participating businesses, organizations, artists and entertainers; or providing payments to Members who refer new customers to MEMBER (details found at:

MEMBER will be assigned one (1) Member ID and associated password for access to MEMBER's ProfitRaising Tools, and may participate in this program simply by using these tools as described in this document and within the help system provided with the ProfitRaising Tools. Since the above-mentioned Referrals are provided by Independent Members of the Happy World Network, and participation in the Referral Rewards System is voluntary, Happy World Network assumes no responsibility for the accuracy or content of the Referrals MEMBER provides or receives, and MEMBER agrees to indemnify Happy World Network from any liability associated with the provision or use of such Referrals.
